Key Heads of Terms (HoTs)
Why do you need Head of Terms in during your negotiations?
Critical to any business negotiation – ‘Heads of Terms’ (also known as Memorandum of Terms) is a document that captures all the terms of a business negotiation in real time; and sets out the terms of a proposed transaction for the negotiating parties to review at each stage of the negotiation process.
HoTs are typically used to outline the key terms of what will be going into the final agreement so that there can be no legal dispute about what the parties initially agreed upon when drafting any contract for services, goods or commercial leases for the business.
Never underestimate the importance of Heads of Terms for contracts and agreements- They are critical evidence should a party attempt to deviate from the negotiation terms. The Heads of Terms (HoTs) are used as a roadmap to navigate the negotiating parties to the final draft and execution of the crystallised agreement.
