What is a Company or Charity Incorporation?

Simply put an ‘Incorporation’ is the legally required processes involved in setting up a new company or charity. This can be done by registering the company with Companies House, the UK’s registrar of companies. The process of incorporation can be simple or complex and time-consuming – depending on the type of company you are trying to set up e.g., Special Purpose Vehicles (SPVs) and Community Interest Companies (CICs) are more complex to set up than a simple Private Limited Company (PLCs), so it is crucial to seek legal and tax advice from the get-go and before starting the process or setting up a company or charity.

Once a company has been incorporated, it is a legal entity i.e., a legal person in its own right – it can enter contracts, own property and employ staff. However, the company will also have to be responsible for its tax obligations and be required to file annual accounts with Companies House. It can sue and be sued
